Terms of Service

1. Agreement

By creating an account at app.useincito.com or by using any Incito API key issued to you, you (the "Tenant") enter into this agreement with Fluxa Ventures LLC ("we", "Incito"). If you are signing on behalf of a company, you represent that you have authority to bind that company.

2. The service

Incito is a software platform that runs an autonomous product expert inside your live product. The platform narrates live demos, answers buyer questions, and captures leads. Incito is delivered as SaaS at app.useincito.com and through the embedded widget your script tag loads.

3. Subscription and billing

• Plans and pricing are published at /pricing and may change on 30 days' notice for renewals.
• Billing is monthly, prepaid through our payment processor. The current month's prepayment is not refunded once a billing period has begun.
• You can downgrade or cancel any time; the change takes effect at the end of the current billing period.
• Token usage above the plan's monthly budget pauses AI features (live Q&A, setup agent, off-script narration) until the next billing period or until you upgrade. Demo playback continues unaffected.

4. Acceptable use

You will not use Incito to (a) deceive end users by misrepresenting the agent as human when asked directly, (b) ingest content you do not have rights to, (c) attack or abuse our infrastructure, (d) violate applicable export controls or sanctions, or (e) resell raw API access without our written consent.

5. Tenant content

You retain all rights to the knowledge-base content, scripts, branding, and visitor data you bring to the platform. We hold a limited licence to process that content solely to deliver the service. We do not train foundation models on your content.

6. Confidentiality & data

Data handling is governed by our Privacy Policy and (for processed personal data) our DPA, signed on request.

7. Service levels

The platform targets 99.9% monthly uptime measured against the dashboard control plane. The widget run-time is measured separately and targets 99.5%. Specific SLAs and credits live in the Master Services Agreement on Pro and Sovereign plans.

8. Term and termination

The agreement begins on first sign-up and continues until cancelled by either party. We may suspend the service immediately for breach of section 4 (Acceptable use) or unpaid invoices over 14 days past due, after written notice.

9. Warranties & liability

The service is provided "as is" with the warranties expressly granted in this document and no others. To the extent permitted by law, our aggregate liability is capped at the fees you paid in the 12 months preceding the claim.

10. Governing law

This agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes are resolved exclusively in the state or federal courts of Wilmington, Delaware.
